Terms and Conditions for Spindle Soft

These Terms and Conditions govern your use of the services provided by Spindle Soft, including all bespoke macOS and iOS application development, weaving and textiles software solutions, and digital loom integration services. By accessing or utilizing our services, you agree to comply with and be bound by these terms.

1. Acceptance of Terms

By engaging Spindle Soft for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not proceed with our services.

2. Services Provided

Spindle Soft specializes in custom macOS and iOS application development, with a focus on tools for the textile industry. Our services include, but are not limited to:

3. Client Responsibilities

Clients are responsible for providing timely and accurate information, materials, and feedback necessary for the successful completion of projects. Delays caused by the client's failure to provide required items may affect timelines and project costs.

4. Intellectual Property

Unless otherwise agreed upon in a separate written contract, all intellectual property rights for custom software developed by Spindle Soft for the client shall typically be transferred to the client upon full payment for the services. Spindle Soft retains the right to display developed works as part of its portfolio, unless specifically agreed otherwise.

5. Confidentiality

Spindle Soft agrees to keep confidential all information provided by the client that is marked as confidential or would reasonably be understood to be confidential. This obligation extends to all project details, proprietary textile patterns, business strategies, and technical specifications.

6. Payments and Billing

Payment schedules and terms will be detailed in individual service agreements or project proposals. All invoices are due upon receipt unless otherwise specified. Late payments may incur additional charges as outlined in the agreement.

7. Limitation of Liability

Spindle Soft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Termination

Either party may terminate a service agreement upon written notice if the other party breaches any material term of these Terms and Conditions and fails to remedy such breach within a specified period. Termination may also occur as per the terms outlined in individual service agreements.

9. Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

10. Changes to Terms

Spindle Soft reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
